Agreement

By creating an account, listing an event, or selling tickets via EventBridge, you unequivocally accept these terms. This Agreement governs your use of our ticketing, cashless and access control systems.
1. Nature of Relationship
EventBridge is not the creator, organiser, or owner of the events listed. The contract for the sale of a ticket is strictly between You (the Organiser) and the Ticket Buyer. We facilitate the transaction but hold no liability for the production, safety, quality, or content of the event. We are not a bank; funds are held in a secure digital wallet managed by our payment processor (Paystack) on your behalf, subject to settlement terms.
2. Platform Services & AI Disclaimer
EventBridge provides a "Do-It-Yourself" digital dashboard allowing you to create events, process payments and manage access. We may provide AI-driven marketing insights or sales predictions.
Disclaimer: Any predictive data, AI-generated marketing copy, or sales estimates provided by the Platform are for informational purposes only. EventBridge does not guarantee ticket sales, attendance numbers, or revenue. You remain solely responsible for your event's marketing strategy.
3. Organiser Warranties
The Organiser warrants and undertakes that:
- Legal Compliance: You comply with the Safety at Sports and Recreational Events Act (SASREA) and hold all necessary venue permissions, liquor licenses and municipal permits.
- Content Rights: You own the copyright to all images and text uploaded to the platform. You indemnify EventBridge against any IP infringement claims regarding your event content.
- Tax Liability: You are solely responsible for declaring and paying all VAT, Income Tax and other duties arising from ticket sales. EventBridge will not withhold tax on your behalf unless legally compelled by SARS.
4. Fees, Settlements & Recovery
4.1 Fee Structure
Fees are deducted automatically from Gross Revenue before payout:
- Service Fee: 5.0% of the ticket face value.
- Payment Processing Fee: 2.9% + R1.00 per transaction (Gateway costs).
- Payout Fee: R5.00 flat fee per withdrawal/settlement.
- Refund Processing: EventBridge retains the original Service and Processing fees even if a ticket is refunded.

| Float Provision Fee | R 250.00 / till | Cash float provision and handling for physical sales. |
4.2 Payouts & Right to Set-Off
Payouts are processed weekly or post-event based on your dashboard settings and risk profile. EventBridge reserves the right to:
- Withhold funds for up to 180 days if we suspect fraud or anticipate high chargebacks.
- Set-Off: Deduct money from your current or future event balances to cover any debts, refunds, or chargebacks owed to EventBridge from previous events.
- Recover negative balances via legal action if your dashboard balance is insufficient.
4.3 Non-Standard Service Fees
- Early Settlement Fee: 3.5% surcharge on the requested payout amount (Subject to eligibility).
- Chargeback Handling: R250.00 per disputed transaction.
- Manual EFT Fee: R50.00 for settlements required outside of the Paystack interface.
5. Refunds, Cancellations & Recovery
If funds have already been paid out to you, you agree to return the full refund amount to EventBridge within 24 hours. To secure this obligation, You hereby grant EventBridge an irrevocable Direct Debit Mandate to recover such funds from your verified business or personal bank accounts. Failure to settle refund liabilities constitutes a material breach and EventBridge reserves the right to report the Organiser to the Southern African Fraud Prevention Service (SAFPS).
Platform Availability: While we strive for 99.9% uptime, EventBridge is not liable for sales lost due to third-party failures, including but not limited to: banking gateway outages, Eskom Load Shedding, or mobile network tower failures.
6. Chargebacks and Disputes
The Organiser accepts full liability for credit card chargebacks (e.g., "Item not received"). If a buyer wins a dispute:
- The ticket value is deducted from your balance.
- A penalty fee (R150.00 - R250.00) levied by the bank is deducted from your balance.
- Excessive chargebacks (>1%) may result in immediate account suspension.
7. On-Site Equipment & Connectivity
7.1 EventBridge's on-site deployment:
- Equipment Liability: You are liable for the full replacement cost of any EventBridge hardware (Scanners, NFC Terminals, Tablets) damaged, lost, or stolen at your venue.
- Connectivity: The Organiser/Venue is responsible for providing stable Internet/Wi-Fi. EventBridge is not liable for check-in delays or cashless syncing issues caused by poor network coverage or congestion at the venue.
- Staffing: EventBridge staff act as technical support. They perform duties under your instruction. You remain responsible for general venue security and crowd control.
7.2 Staffing & Labor Disclaimer
EventBridge staff provided for on-site deployment act as technical assistants under your direct supervision. The Organiser assumes full vicarious liability for the actions, omissions and conduct of such staff while on-site. EventBridge is not liable for any losses, theft, or guest disputes arising from staff performance under your instruction.
8. Seamless™ Cashless System
When using Seamless™:
- EventBridge acts as a temporary custodian of attendee funds.
- Vendor revenue is released only after final reconciliation (post-event).
- EventBridge is not liable for transaction failures caused by power outages (Load Shedding) unless backup power was contractually agreed upon and supplied.
9. Intellectual Property
You grant EventBridge a non-exclusive, royalty-free license to use your event name, logos and imagery for the purpose of promoting the event and for EventBridge's own portfolio/marketing usage (e.g., "Clients we work with").
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT IS STRICTLY LIMITED TO THE SERVICE FEES ACTUALLY EARNED BY EVENTBRIDGE FOR THE SPECIFIC EVENT IN QUESTION.
11. Indemnification
You agree to indemnify, defend and hold EventBridge harmless against all claims, losses and legal fees arising from:
- Negligence, gross negligence, or misconduct by you or your staff.
- Any injury or property damage occurring at the event venue.
- Your failure to pay taxes or obtain necessary licenses.
- Consumer disputes regarding the quality or delivery of the event.
12. Dispute Resolution
This Agreement is governed by the laws of the Republic of South Africa. In the event of a dispute, EventBridge may elect to pursue the matter in the Magistrate's Court (regardless of the quantum/amount involved) or the High Court of South Africa (Gauteng Local Division). You consent to the jurisdiction of the Magistrate's Court of Boksburg.
